1. Scope
These Terms of Service (ToS) apply to all contracts concluded between Key2Host and its customers regarding the provision of hosting services. Deviating agreements are only valid if confirmed in writing by Key2Host.
2. Contract Formation
A contract is formed upon acceptance of the customer's order by Key2Host. The customer will receive a confirmation by email. All offers are non-binding and subject to change. Key2Host reserves the right to reject orders without stating reasons.
3. Services
Key2Host provides services such as cloud servers, dedicated servers, domain registrations, and VPN services. The specific scope of services is defined on the website. Key2Host reserves the right to modify or discontinue services at any time, provided this is reasonable for the customer.
4. Availability and Maintenance
Key2Host strives to provide the highest possible availability of its services but does not guarantee uninterrupted operation. Maintenance work and unforeseen outages may result in temporary disruptions. Planned maintenance will be announced in advance where possible.
5. Pricing and Payment Terms
All prices are stated in Euro and include applicable VAT unless otherwise specified. Payments must be made in advance. Supported payment methods are listed on the website. In case of payment default, Key2Host reserves the right to restrict or suspend services. Late payment fees and statutory interest may apply.
6. User Account
The customer is responsible for keeping their access credentials secure and confidential. Key2Host is not liable for damages resulting from unauthorized account use. The customer must notify Key2Host immediately in case of loss or misuse of credentials.
7. Data Protection
Key2Host processes personal data in accordance with the General Data Protection Regulation (GDPR). Further details are available in the Privacy Policy. The customer agrees to data processing to the extent necessary for contract fulfillment.
8. Intellectual Property Protection
The customer guarantees that all content stored or distributed via Key2Host services does not infringe third-party intellectual property rights. Key2Host reserves the right to remove content that violates applicable laws or these terms without prior notice.
9. Liability
Key2Host is only liable for damages caused by intent or gross negligence. In cases of slight negligence, liability is limited to breaches of essential contractual obligations. Liability for data loss or unforeseeable damages is excluded. Key2Host is not liable for outages or disruptions beyond its control.
10. Account Suspension
Key2Host reserves the right to suspend customer accounts in cases of suspected illegal activities, abuse, or violations of these terms. Suspension may occur without prior notice if there is an immediate risk to system or data security.
11. Abuse and Misuse
Customers must not use Key2Host services for illegal, harmful, or abusive activities. This includes, but is not limited to, denial-of-service (DoS) attacks, distribution of malware, sending spam, or hosting phishing websites. Violations may result in immediate suspension and termination without refund.
12. Cryptomining and Illegal Applications
The use of server resources for cryptomining, illegal software, or other unlawful activities is strictly prohibited. This includes any applications used for cryptocurrency mining or illegal operations. Violations will result in immediate account suspension and termination without refund.
13. Terrorism and Hate Content
The distribution of terrorist content or material promoting violence, hate, or intolerance is strictly prohibited. Key2Host will take immediate action, including account suspension and reporting to relevant authorities.
14. Termination
Contracts may be terminated with a notice period of 14 days prior to the end of the billing cycle, unless otherwise agreed. The right to extraordinary termination remains unaffected. Serious violations may result in immediate termination.
15. Severability Clause
If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by one that most closely reflects its intended economic purpose.
16. Final Provisions
The laws of the Federal Republic of Germany apply. The place of jurisdiction is Ibbenbueren, provided the customer is a merchant. If any provision is invalid, the validity of the remaining provisions remains unaffected. Key2Host reserves the right to amend these Terms of Service, with changes communicated at least 14 days prior to taking effect.
